Overview
HNA Group was a Chinese conglomerate headquartered in Haikou, Hainan. Its roots lay in Hainan Airlines, established in 1993 with support from the Hainan provincial government. Following a restructuring of the airline in the late 1990s, HNA Group Co., Ltd. was formed in January 2000. The group initially built around aviation but subsequently developed a highly diversified portfolio covering tourism, hotels, airport services, aircraft leasing, logistics, shipping, financial services, real estate, retail, technology distribution and media and entertainment. HNA’s growth was driven by an aggressive acquisition strategy in China and overseas. Its aviation interests included Hainan Airlines, Grand China Air, Hong Kong Airlines, HK Express, Lucky Air, Urumqi Air and West Air, as well as minority investments in carriers such as Azul Brazilian Airlines, Virgin Australia, TAP Air Portugal and Africa World Airlines. It also established or acquired businesses serving airlines, including aircraft leasing, aircraft maintenance, airport operations, cargo and catering. In 2016, its aviation-catering subsidiary acquired gategroup, while the group also bought a major interest in Servair. Its low-cost airline affiliates helped establish the U-FLY Alliance in 2016. Outside aviation, HNA developed hotel and travel operations through HNA Tourism and HNA Hospitality Group, including the Tangla hotel brand and interests in NH Hotel Group, Carlson Rezidor Hotel Group and Hilton Worldwide. Its logistics and leasing businesses included container leasing, trailer leasing and aircraft leasing. Through Bohai Leasing and related entities, HNA became a significant participant in global equipment finance. Its financial arm held stakes in Deutsche Bank and other financial businesses, while its technology portfolio included Ingram Micro, acquired in a transaction announced in 2016 and later divested in 2020. The group’s international expansion accelerated sharply during the middle of the 2010s. It acquired or invested in companies and assets in the United States, Europe, Australia, Brazil, South Africa, Hong Kong and elsewhere, including office towers and hotels in New York, Swissport, Avolon, Frankfurt-Hahn Airport, an interest in Rio de Janeiro–Galeão International Airport and a large stake in Hilton Worldwide. The strategy increased HNA’s global reach but also left it heavily indebted and dependent on borrowing and asset sales. By 2017, HNA had become one of China’s most active overseas investors and appeared on the Fortune Global 500. Its rapid expansion attracted scrutiny from regulators, creditors and the Chinese government, particularly because of its debt levels, opaque ownership and complex affiliate structure. Chinese financial institutions restricted new lending to several large private companies involved in overseas acquisitions, intensifying HNA’s liquidity pressure. The group began selling assets, but its financial position continued to deteriorate. HNA entered bankruptcy proceedings in January 2021 after debt-restructuring efforts failed. The restructuring process addressed a very large volume of creditor claims and criticized aspects of the group’s corporate governance and affiliate relationships. In September 2021, founder and chairman Chen Feng and chief executive Tan Xiangdong were reported to have been arrested. The aviation business, including Hainan Airlines, was acquired by Liaoning Fangda Group Industrial in December 2021. Hainan Development Holdings acquired HNA’s airport division later that month. These transactions marked the effective end of HNA Group as an operating conglomerate.
History
HNA Group’s origins were in Hainan Airlines, created in 1993 by Chen Feng, Wang Jian, Tan Xiangdong and other partners with approval from the Hainan provincial government. The airline was reorganized in 1997, and HNA Group Co., Ltd. was established in January 2000. Aviation remained the group’s core activity, but management pursued a diversification strategy that eventually created separate aviation, tourism, capital, holdings, logistics, innovation-finance and media-and-entertainment divisions. During the 2000s, HNA expanded its airline network and began building a broader transportation platform. It acquired interests in Hong Kong Airlines and HK Express in 2006 and developed relationships with multiple mainland Chinese carriers. The group later added airport operations, aircraft leasing, maintenance, catering and cargo services, seeking to control more parts of the aviation value chain. In 2016, its affiliated airlines created the U-FLY Alliance, linking HK Express, Lucky Air, Urumqi Air and West Air. HNA’s diversification accelerated after the group began pursuing tourism, hospitality and logistics assets. It invested in NH Hotel Group, purchased hotels and commercial property in New York, and operated hospitality businesses through HNA Tourism and HNA Hospitality Group. In logistics and equipment finance, it acquired or invested in container leasing, trailer leasing and aircraft leasing businesses. The acquisition of Avolon and the later purchase of CIT’s aircraft-leasing operations made the group a major global aircraft-finance participant. The group’s overseas activity reached an exceptional pace between 2015 and 2017. Transactions included investments in Swissport, gategroup, Servair, Azul Brazilian Airlines, Virgin Australia, TAP-related entities, Carlson Rezidor, Hilton Worldwide, Deutsche Bank, Ingram Micro, Frankfurt-Hahn Airport and Rio de Janeiro–Galeão International Airport. HNA also acquired or backed real-estate projects in New York and Hong Kong. In October 2005, Soros Quantum Fund had invested in HNA, while later international investments brought the group into contact with major financial institutions, airlines, hotel companies and infrastructure operators. This expansion was funded substantially through borrowing and complex intercompany structures. HNA’s debt load and ownership arrangements increasingly attracted scrutiny. In 2017, Chinese authorities introduced measures designed to restrain risky overseas acquisitions and limit financing to highly leveraged private conglomerates. HNA’s access to bank credit tightened, and the group began selling assets to raise liquidity. Some planned transactions were delayed or remained subject to regulatory approval, and aircraft deliveries were affected by the group’s financial strain. HNA’s difficulties deepened after 2017. It divested major assets, including Ingram Micro in 2020, but sales were not sufficient to resolve its liabilities. On 29 January 2021, the group declared bankruptcy after debt-restructuring negotiations failed. The restructuring proceedings criticized aspects of HNA’s governance and the management of affiliated companies. In September 2021, Chen Feng and Tan Xiangdong were reported arrested. The restructuring separated the group’s principal businesses among different buyers. Liaoning Fangda Group Industrial acquired HNA Aviation in December 2021, while Hainan Development Holdings acquired the airport division later that month. These transfers brought the HNA conglomerate to an end, although several former HNA businesses continued under new ownership.
