Overview
Endemol Shine Group was an international content-production and distribution business formed in 2015 by combining Endemol, Shine Group and the television assets of CORE Media Group. Its principal business was the creation, production, adaptation and worldwide licensing of scripted and unscripted television, with activities extending into digital video and, later, podcasts. The group operated through a broad network of production companies and regional businesses, including Endemol Shine UK, Endemol Shine North America, Endemol Shine Australia, Endemol Shine India, Endemol Shine France, Endemol Shine Germany, Endemol Shine Iberia and Endemol Shine Nordics. It also owned or incorporated specialist labels such as Kudos, Dragonfly, Tiger Aspect Productions, Remarkable Television, Shine TV, Fifty Fathoms and Zeppotron. The company inherited a particularly strong portfolio of repeatable television formats from Endemol. These included Big Brother, Deal or No Deal, Fear Factor, The Money Drop, Wipeout and MasterChef. Such formats were designed to be localized for different territories while retaining a recognizable central structure, making the business both a production supplier and an intellectual-property licensor. The group also developed and distributed scripted programming, including Peaky Blinders, Black Mirror, Humans, Grantchester, The Fall, Ripper Street, Mr. Bean and Tin Star. In 2018, the group reported approximately 700 productions on air across 270 platforms and channels, and industry tracking identified it as the production and distribution company with the most widely travelled television formats during the relevant 2018–19 period. The group was jointly owned by 21st Century Fox and funds managed by Apollo Global Management at its creation, with each side holding 50 percent. When The Walt Disney Company acquired most of 21st Century Fox, Disney inherited Fox's interest in Endemol Shine. A proposed sale process attracted interest from several media companies, but no transaction was completed in 2018. Banijay later agreed to acquire the entire group. The European Commission approved the acquisition in June 2020, and completion followed on 3 July 2020. Endemol Shine's assets were then folded into Banijay, although the Endemol Shine name continued to appear for some time on selected production operations and catalogue activities. The group therefore survives primarily as a historical corporate and brand identity rather than as an independent company.
History
Endemol Shine Group originated from the convergence of three major television businesses. Endemol was established in 1994 through the merger of production companies associated with Joop van den Ende and John de Mol; its name combined elements of their surnames. It became known for scalable formats that could be remade in multiple territories, most notably Big Brother. Other internationally distributed Endemol formats included Deal or No Deal, Fear Factor, The Money Drop and Wipeout. Endemol also expanded beyond reality and game shows into drama, comedy, factual content and digital video. Shine Group was founded in the United Kingdom in 2001 by Elisabeth Murdoch. It developed a portfolio of production businesses and scripted labels, including Shine TV and Kudos, and became associated with internationally successful drama and factual programming. CORE Media Group, an American production and entertainment business connected to Apollo, supplied another part of the combination. On 15 May 2014, 21st Century Fox and Apollo announced their intention to combine Endemol, Shine Group and CORE Media. The agreement was finalized in October 2014, and Sophie Turner Laing was selected to lead the new venture, with Tim Hincks appointed president. The transaction was completed in December 2014, while the joint venture began operating under the Endemol Shine Group name from 1 January 2015. Endemol's worldwide distribution operations and Shine International were combined into Endemol Shine International. The organization subsequently built or maintained regional operations across Europe, North America, Latin America, Asia and Oceania. It also reorganized its Nordic activities, created Endemol Shine Iberia, and continued to develop specialist labels. In many programme credits, the former Endemol eye and Shine egg marks were replaced by an Endemol Shine Group wordmark, reflecting the integration of the predecessor companies. The group remained jointly owned by Fox and Apollo until the Disney acquisition of 21st Century Fox transferred Fox's interest to Disney. A possible sale was examined during 2018, with a number of strategic and media buyers reportedly considered, but the process was suspended in November of that year. In October 2019, Banijay announced an agreement to acquire the group. Regulatory approval was obtained from the European Commission on 30 June 2020, and the acquisition closed on 3 July 2020. Endemol Shine was folded into Banijay and thereafter operated largely as a legacy or in-name-only identity, although the catalogue, production companies and intellectual property continued to have commercial value. Later activity associated with the name included a 2021 entry into podcast development through a partnership with KT Studios.
