Overview
Edizione is the Italian investment holding company controlled by the Benetton family. Established in 1981 as Edizione Holding, it was created to consolidate the family’s interests after the rapid expansion of the Benetton textile business. Although the Benetton clothing brand remains an important asset, Edizione has developed into a diversified investment group whose activities extend well beyond apparel. The company’s portfolio has historically included transport infrastructure, motorway services, airports, food service, travel retail, telecommunications, digital infrastructure, agriculture, real estate, financial institutions, venture capital, sports, and cultural initiatives. Its most significant infrastructure interests have been assembled through a series of holding companies and consortium structures, including the businesses formerly associated with Atlantia and now grouped under Mundys. Mundys has interests in motorway concessions, airports, electronic tolling, traffic-management technology, and other mobility services. Edizione also holds a significant interest in Avolta, the international food-service and travel-retail group created through the combination of Autogrill and World Duty Free. Edizione’s origins lie in the Benetton family’s textile enterprise, which expanded internationally during the 1970s. The family used the holding company to manage ownership, finance acquisitions, and separate family control from operating-company management. In the 1980s, Edizione began diversifying through acquisitions in footwear, sporting goods, agriculture, and professional sport. The acquisition and development of the Benetton Formula motor-racing team provided a high-profile communications platform, while the Benetton Sportsystem project demonstrated both the ambition and the risks of entering sectors outside the group’s original expertise. During the 1990s, Edizione became a major participant in the privatization of Italian state assets. Through a consortium, it acquired control of SME-related businesses, including Autogrill and GS supermarkets. Autogrill was subsequently separated and listed, while GS was later sold to Carrefour. The holding company then moved decisively into infrastructure, helping acquire a major stake in Società Autostrade and later integrating airport assets through the Sintonia sub-holding. These transactions transformed Edizione from a textile-centered family holding into a large international investment platform. The group also experienced setbacks. Investments in telecommunications, including interests associated with Blu and Telecom Italia, produced disappointing results, and a proposed combination involving Società Autostrade and Abertis was blocked in 2006. The response was a succession of reorganizations, asset disposals, and governance changes intended to improve portfolio discipline and professionalize decision-making. Edizione underwent a major legal reorganization in 2009, becoming Edizione S.r.l. after the merger of earlier holding structures. It returned to the S.p.A. form in 2022. Following the deaths of Carlo and Gilberto Benetton in 2018, ownership and governance became increasingly focused on managing the transition from the founding generation to the wider second and third generations of the family. Alessandro Benetton became chairman in 2022, while professional managers and independent directors continued to play an important role. In the 2020s, Edizione supported the restructuring of its major infrastructure interests. The sale of Autostrade per l’Italia to a consortium led by CDP was approved in 2021, and Edizione subsequently participated with Blackstone and other investors in the transaction that led to the creation of Mundys. The group also contributed its Autogrill interest to the combination with World Duty Free, resulting in Avolta. More recent activity has included expansion in digital infrastructure, venture capital, renewable energy, and innovation related to travel…
History
Edizione was founded in 1981 by the four Benetton siblings to centralize ownership of the family’s expanding business interests. The family’s commercial roots were in textiles: Luciano, Gilberto, Giuliana, and Carlo Benetton had established a successful clothing enterprise during the 1950s and 1960s, and international growth during the 1970s created the capital base for diversification. The holding company’s first expansion beyond apparel occurred during the 1980s. It acquired interests in footwear and sporting goods and benefited from the public listing of Benetton Group. The acquisition of the Toleman Formula One team in 1985, renamed Benetton Formula in 1986, linked the family’s corporate identity to international motor racing. The team later won drivers’ and constructors’ championships, giving the group a global promotional platform. In 1986, Gianni Mion became general manager, reinforcing the separation between family ownership and professional administration. Edizione’s attempted creation of a broad sporting-goods group through Benetton Sportsystem produced weaker-than-expected results, but it encouraged the family to treat new investments as a diversified portfolio rather than as extensions of the textile business. In 1991, the group entered large-scale agriculture through the acquisition of Compañía de Tierras Sud Argentino, a livestock and wool producer in Argentina. The 1990s marked a decisive transition. In the context of Italian privatization, Edizione led a consortium that acquired control of SME-related operations, including Autogrill and GS supermarkets. Autogrill was separated from GS and listed in 1997, while the supermarket business was sold to Carrefour in 2000. Edizione expanded Autogrill internationally through the acquisition of Host Marriott Services in 1999, strengthening its position in motorway and airport catering. In 1999, Edizione also entered transport infrastructure by leading the Schemaventotto consortium in the acquisition of a substantial interest in Società Autostrade. A tender offer for the remaining shares was completed in 2003. The group invested in telecommunications through Blu and Telecom Italia-related structures, but these projects failed to deliver their expected returns. A proposed merger between Società Autostrade and Abertis in 2006 was blocked after political opposition, becoming one of the major strategic setbacks of the period. Edizione formed Sintonia in 2007 to consolidate infrastructure holdings. Through Sintonia, the group acquired Aeroporti di Roma and undertook a substantial investment program. The merger of Atlantia and Gemina in 2013 brought motorway and airport assets together. In the same year, Autogrill separated its airport-retail business into World Duty Free, which was listed separately. Edizione sold its World Duty Free stake to Dufry in 2015. A legal reorganization took effect in 2009. Earlier structures, including Edizione Holding and Sintonia, were combined through Ragione S.A.P.A., which then became Edizione S.r.l. Ownership remained divided among the four family branches through separate investment vehicles. The arrangement preserved family control while enabling professional management of the portfolio. The deaths of Carlo and Gilberto Benetton in 2018 accelerated a generational transition. Governance involved members of the second generation and representatives of the third generation. Gianni Mion became chairman in 2019, but resigned in 2020 and was replaced by Enrico Laghi. Laghi was involved in negotiations concerning the future of Autostrade per l’Italia. In 2021, Atlantia shareholders approved the sale of Autostrade per l’Italia to a consortium led by CDP. Alessandro Benetton became chairman in 2022, the company returned to the S.p.A. legal form, and Edizione participated with Blackstone and other investors in the restructuring of Atlantia. The resulting group, Mundys, was presented in 2023 with an emphasis on international infrastructure, mobility, innovation, and sustainability. Edizione also supported the combination of Autogrill and World Duty Free, which created Avolta, a global travel-retail and food-service company. More recent activity has broadened the portfolio further. Edizione created a renewable-energy vehicle, maintained interests in digital infrastructure and financial institutions, and expanded its venture-capital exposure through 2100 Ventures. The group has also supported innovation initiatives in travel food service and became an institutional supporter of the Unhate Foundation. Its development reflects a long-term shift from a family textile company toward a diversified investment house with professional governance and substantial exposure to infrastructure and consumer-service platforms.
