Overview

CPU Softwarehouse AG is a German software group specialising in IT solutions for banks. Headquartered in Augsburg, the company operates as a holding for subsidiaries that develop banking software and provide consulting and IT services to financial institutions. Its stated focus is small and medium-sized credit institutions in Germany, Austria and Switzerland, and it describes itself as having more than 40 years of expertise in this specialised market segment. The group's offering spans the entire value chain of banking tasks: consulting, development and implementation of customised software, and ongoing personal support. Its service lines include software development, project management, software testing and quality assurance, IT service management, and the placement of specialised IT and banking personnel. The company positions itself as a long-term, reliable partner for banks on their path to digitalisation, emphasising reliability, high-quality state-of-the-art solutions, and teamwork. CPU was founded in 1981 as "abv-Anlagenvermittlung-cpu Softwarehouse GmbH" by Jochen Furch. It won its first major software contract in 1991, developing software to support building-finance business for Commerzbank AG, followed in 1998 by real-estate financing software for Bayerische Landesbank. Venture capital entered in 1996 and 1998, and the company went public in 1999 on the Neuer Markt of the Frankfurt Stock Exchange. It expanded into Poland, the Czech Republic, Hungary, Slovakia, Austria and Switzerland and acquired numerous companies in 1999–2000. After the dotcom crash, the share price collapsed from peaks of around 70 euros to below 1 euro, and the company pursued a strict consolidation. In 2002 it was reorganised as a holding, and it moved from the Neuer Markt to the Regulated Market in Frankfurt. In 2005 a capital increase against contribution in kind was used to acquire Finsys AG in St. Gallen, adding bank controlling as a product line. After moving to the Regulated Market in Munich in 2009, the company downgraded to the Freiverkehr in 2010 and has been listed in m:access, the SME segment of the Munich Stock Exchange, since 1 October 2010. Its Swiss and other foreign subsidiaries were wound up in the first half of the 2020s.

History

CPU Softwarehouse AG was founded in 1981 as "abv-Anlagenvermittlung-cpu Softwarehouse GmbH" by Jochen Furch. The company's first major software contract came in 1991, when it developed software to support building-finance business for Commerzbank AG. In 1998 it followed with software for real-estate financing for Bayerische Landesbank. In 1996 the then Technologieholding München participated in a first financing round with venture capital, and a second financing round followed in 1998 with additional investors. In 1999 the company went public on the Neuer Markt of the Frankfurt Stock Exchange. It expanded strongly, establishing branches and cooperations in Poland, the Czech Republic, Hungary, Slovakia, Austria and Switzerland. As part of this growth, numerous companies were acquired in 1999–2000; some of their products in the areas of lending and investment/securities advisory are still sold today, alongside ongoing services in the banking environment. Amid the turmoil of the Neuer Markt and insider allegations against management, the CPU share felt the effects of the dotcom bubble. After peaking at around 70 euros, the price fell rapidly and at times dropped below 1 euro (penny stock). Like many other fast-growing Neuer Markt companies, CPU had to adopt a strict consolidation course. As part of this, CPU Softwarehouse AG was set up as a holding in 2002, leaving only a few central functions, while subsidiaries were given their own responsibility for themselves and their product lines. ISMC Information System Management & Consulting, based in Waldbronn, had belonged to the CPU Group since 1999 and merged with another group company in 2016. In 2002 CPU AG moved from the Neuer Markt to the Regulated Market of the Frankfurt Stock Exchange. In 2005 it carried out a capital increase against contribution in kind to acquire Finsys AG in St. Gallen via a share exchange, adding bank controlling as a further product line and a new group company. Since 2007 further simplifications of the group structure have taken place, and steps were taken to reduce the cost burden of a regulated-market listing. After moving in 2009 from the Regulated Market in Frankfurt to the Regulated Market in Munich, CPU carried out a downgrading to the Freiverkehr a year later and has been listed in m:access, the SME segment of the Munich Stock Exchange, since 1 October 2010. In Switzerland, CPU Bankensoftware AG was founded in 1998 as Finsys AG in St. Gallen and became part of the CPU Group in 2005. Its competencies lay, with the "Value Mirror" product line, in the development and operation of software for bank controlling; with the "Investment Advisor" product line it offered software for investment and securities advisory and provided implementation services. The Swiss and all other foreign subsidiaries were wound up in the first half of the 2020s. Today the CPU Softwarehouse AG acts as a holding for its two Augsburg subsidiaries, which develop software for banks and provide services in the banking environment, focusing on small and medium-sized credit institutions in Germany, Austria and Switzerland. CPU Consulting & Software GmbH was known until 2008 as CPUsoftware LAB (later CPU Bankensoftware), which itself emerged from the T&R GmbH acquired in 1999 and based in Bad Soden-Salmünster; it is a specialist for the development of software for banks and a service partner in the financial sector. CPU GIS GmbH (formerly NSG GIS GmbH, Jettingen-Scheppach) offers services in Germany tailored to the needs of the IT and telecommunications sector.
