Overview
Cosco Capital, Inc. is a diversified Philippine holding company headquartered in Manila. It is best known as the corporate group behind Puregold Price Club and S&R Membership Shopping, two of the country’s prominent grocery and warehouse-club retail businesses. The group also has interests in office and school-supply retailing, imported wine and spirits distribution, commercial property, fuel storage, petroleum, and mineral exploration. The company’s corporate history began in the energy and natural-resources sector. It was incorporated on January 19, 1988, as Alcorn Petroleum and Minerals Corporation and initially concentrated on oil and mineral exploration. The business later broadened its scope as the Co family developed a strategy of combining retail, property, and distribution activities under one holding-company structure. In January 2000, the company adopted the name Cosco Capital, Inc., reflecting its transition from a principally resource-oriented enterprise into a diversified investment and operating group. Retail became the group’s central growth engine. Lucio L. Co and Susan P. Co founded Puregold Price Club in 1998, opening the first store in Mandaluyong, Metro Manila, in December of that year. Puregold expanded through new stores, smaller-format concepts, and acquisitions. Puregold Jr. and Puregold Extra were introduced to address different customer and location requirements. The acquisition of Kareila Management, the operator of S&R Membership Shopping, in the 2012–2013 period added a warehouse-club format serving consumers, businesses, and institutional buyers. Together, Puregold and S&R form the group’s principal grocery-retail platform. Cosco also built a specialty-retail presence through Office Warehouse, which sells office, school, and related business supplies. Its stores operate independently and, in some cases, through store-within-a-store arrangements in Puregold locations. This gives the group exposure to non-food retail and to commercial, educational, and institutional customers. Another important business is imported beverage distribution. Cosco’s former liquor-distribution interests included Montosco, Meritus, and Premier Wine & Spirits, together with related distribution operations. In 2021, these businesses were reorganized into The Keepers Holdings, Inc. through a share-exchange transaction. The restructuring created a separately listed beverage-distribution company while allowing Cosco to retain an investment exposure to the business. The distribution portfolio represents a major channel for international wine and spirits brands in the Philippines. Property activities support both the group’s operating businesses and third-party leasing operations. Cosco-affiliated companies have been involved in malls, commercial buildings, shopping centers, and landholdings. Fertuna Holdings participated in the development of Harbor Point Mall in Subic, while other affiliates have held or developed commercial properties in Metro Manila and other parts of Luzon. The group also owns Pure Petroleum, which operates fuel-storage infrastructure in Subic Bay. Cosco remains closely associated with the Co family. Lucio L. Co has served as chairman, Susan P. Co as vice chairman, and Leonardo B. Dayao as president. The family group has maintained a controlling shareholding position. Although retail contributes the largest share of the company’s operating scale and earnings, Cosco’s holding-company model is designed to combine consumer-facing businesses with property assets and selected energy and resource interests. Its shares trade on the Philippine Stock Exchange under the symbol COSCO.
History
Cosco Capital traces its origins to Alcorn Petroleum and Minerals Corporation, which was incorporated in the Philippines on January 19, 1988. The original business was focused on oil and mineral exploration rather than consumer retail. This resource-oriented heritage remains visible in the group’s later energy and mining interests, although retail ultimately became the dominant part of the enterprise. A major change came with the establishment of Puregold Price Club by Lucio L. Co and Susan P. Co in 1998. Puregold’s first store opened on December 12, 1998, in Mandaluyong, Metro Manila. The supermarket concept gave the Co family a platform in food and consumer-goods retail, a sector with recurring demand and broad national reach. Puregold subsequently expanded through a combination of new-store development and acquisitions. In January 2000, the company changed its corporate name to Cosco Capital, Inc. The change accompanied a broader charter and strategy intended to make the company a diversified holding group. Rather than remaining centered on exploration, Cosco began building exposure to retail, real estate, distribution, and other operating sectors. The structure enabled affiliated companies to pursue different businesses while remaining connected through common ownership and investment oversight. Puregold broadened its market coverage during the 2000s and early 2010s. Puregold Jr. was introduced in 2008 and Puregold Extra in 2010 as smaller or differently positioned store formats. The group also entered warehouse-club retail through S&R Membership Shopping. Puregold acquired Kareila Management, the company associated with S&R, during the 2012–2013 period. S&R added a membership-based, bulk-shopping model to Puregold’s conventional supermarket network. Property became another supporting pillar. In 2012, Cosco-affiliated Fertuna Holdings co-developed Harbor Point Mall in the Subic Freeport with Ayala Land. The mall opened in September 2012 and included Puregold as an anchor tenant. Other affiliates accumulated shopping centers, commercial buildings, leasehold interests, and landholdings in Metro Manila and Luzon. These assets provided locations for group businesses as well as rental and development opportunities. Cosco also expanded beyond food retail. Office Warehouse provided a specialty-retail platform for office, school, and institutional supplies. The group developed a substantial imported wine and spirits distribution presence through companies including Montosco, Meritus, and Premier Wine & Spirits. These businesses represented international beverage brands in the Philippine market and became associated with a large share of imported-liquor distribution. In 2021, Cosco reorganized its liquor interests by transferring the relevant subsidiaries to The Keepers Holdings in exchange for newly issued shares. The transaction separated the beverage-distribution operations into a dedicated listed company while preserving Cosco’s ownership interest. This was consistent with the group’s use of portfolio restructuring to give individual business platforms greater corporate focus. The company continued to maintain energy and resource-related activities through Alcorn Petroleum and Minerals Corporation, which became a wholly owned subsidiary in 2013. Its interests included oil and gas exploration service contracts and a limestone project, although these activities were much smaller in commercial importance than grocery retail and consumer distribution. Pure Petroleum added fuel-storage infrastructure to the group’s property and energy portfolio. Cosco entered a proposed joint venture with Siam Global House in 2022 to develop Philippine home-improvement warehouse outlets. In late 2024, the parties decided not to proceed, with management referring to current market conditions. The decision illustrated the group’s willingness to abandon a proposed expansion when the commercial environment did not support implementation. Today, Cosco Capital is a Philippine public company centered on Puregold and S&R, complemented by Office Warehouse, property companies, petroleum infrastructure, and its investment in The Keepers Holdings. The group remains controlled by the Co family and is traded on the Philippine Stock Exchange under COSCO.
