Overview

ComfortDelGro Australia is the Australian operating group of Singapore-based ComfortDelGro Corporation. Its activities span metropolitan and regional bus operations, taxi services, charter transport and non-emergency patient transport. The group operates across much of Australia, although its principal public transport footprint does not extend to Tasmania or South Australia. Its businesses include CDC NSW, CDC Victoria, CDC Canberra, CDC Queensland, CDC Northern Territory, regional bus operators, CDC Charter, National Patient Transport and Swan Taxis. The Australian business began in October 2005 as ComfortDelGro Cabcharge, a 51:49 joint venture between ComfortDelGro and Australian taxi-services company Cabcharge Australia. The venture was created to acquire the loss-making Westbus Group from National Express and the Bosnjak family. The transaction brought Westbus, Hillsbus and Blue Ribbon into the new group; Blue Ribbon was subsequently renamed Hunter Valley Buses. This initial acquisition established the company's Australian bus platform in New South Wales. ComfortDelGro Cabcharge expanded through a series of regional acquisitions. It absorbed Baxter's Bus Lines' routes into Westbus in 2006 and acquired several Hunter Valley operators in 2007. In 2008 it created a charter division, later known as CDC Travel. The acquisition of Victoria's Kefford Corporation in 2009 gave the group a substantial presence in the Victorian bus market. Further purchases included Deane's Transit Group in southern New South Wales, Blue Mountains Bus Company, Tullamarine Bus Lines, National Patient Transport, Coastal Liner, Forest Coach Lines, Buslink, Blanch's Bus Company, Brunswick Valley Coaches and Young's Bus Service. The company also owns or controls businesses outside the original joint venture structure. Swan Taxis, a Perth taxi operator acquired by ComfortDelGro in 2010, remained a direct subsidiary of ComfortDelGro rather than becoming part of the Australian corporation created through the Cabcharge joint venture. Its later acquisition of Metro WA Taxi Management expanded the operation into taxi fleet management. Purple Coaches in Western Australia was also acquired by ComfortDelGro and became associated with Swan Taxis. ComfortDelGro became the sole owner of the Australian joint venture in February 2017 after acquiring Cabcharge's 49 percent interest. The business was then renamed ComfortDelGro Corporation Australia, while the CDC abbreviation was retained. In 2019 the group formally established the ComfortDelGro Australia office and appointed Nicholas Yap as its inaugural chief executive. Operating structures and branding have continued to evolve, including the consolidation of Sydney contracts under CDC NSW, the rebranding of Buslink operations as CDC-branded businesses, and the creation of a Regional Australia Division. Today, ComfortDelGro Australia is principally a contracted and commercial transport operator. Its bus businesses run government-contracted metropolitan, regional and school services; its taxi operations provide booked and rank-based transport; and National Patient Transport provides non-emergency medical transfers. In 2023 the group moved its national head office to Melbourne's central business district. In December 2023 it entered a proposed scheme of arrangement to acquire A2B Australia, the former Cabcharge business, subject to shareholder and regulatory approvals.

History

ComfortDelGro Australia's history begins with the October 2005 formation of ComfortDelGro Cabcharge, a joint venture owned 51 percent by ComfortDelGro and 49 percent by Cabcharge Australia. The venture acquired the Westbus Group from National Express and the Bosnjak family. The transaction brought Westbus, Hillsbus and Blue Ribbon into the Australian platform, with Blue Ribbon becoming Hunter Valley Buses. The group expanded organically and through acquisitions. Baxter's Bus Lines routes were absorbed into Westbus in 2006, while Morisset Bus Service, Sugar Valley Coachlines and Toronto Bus Service joined Hunter Valley Buses in 2007. A charter division was created in 2008 under the Charterplus name. That year the company considered entering bus manufacturing through a proposed Custom Coaches acquisition and a planned Rutherford plant, but withdrew during the global financial crisis and refocused on transport operations. In 2009 the group acquired Victoria's Kefford Corporation for A$149 million, adding 328 buses and six depots. The business became CDC Victoria, although its operating companies retained their local identities for several years. Deane's Transit Group was acquired in 2012, and Blue Mountains Bus Company followed in 2014. These transactions broadened the group's coverage across New South Wales and Victoria. A major ownership change occurred in 2017, when ComfortDelGro acquired Cabcharge's remaining 49 percent stake. Following completion on 16 February 2017, the joint venture became a wholly owned ComfortDelGro business and was renamed ComfortDelGro Corporation Australia. The CDC abbreviation remained central to the group's operating brands. The acquisition program continued in 2018 and 2019. Tullamarine Bus Lines, National Patient Transport, Coastal Liner, Forest Coach Lines, Buslink, Blanch's Bus Company and Brunswick Valley Coaches were added. Buslink provided operations in the Northern Territory, Queensland, New South Wales and Victoria. In 2019 the group created a formal Australian office and appointed Nicholas Yap as chief executive. Later reorganisations moved selected Buslink operations into CDC Victoria and rebranded them as CDC Mildura, CDC Broken Hill, CDC Queensland, CDC Gladstone and CDC Sunshine Coast. ComfortDelGro acquired Young's Bus Service in Queensland in 2021 and later incorporated its Rockhampton operations into CDC Queensland. In the same period, the company established a Regional Australia Division covering operations in the Northern Territory, Queensland, the Australian Capital Territory and regional New South Wales. Buslink's remaining Northern Territory operations were renamed CDC Northern Territory in 2022. Sydney operations were reorganised after the 2022 contract awards. Hillsbus and the Sydney operations of Forest Coach Lines were replaced by the CDC NSW umbrella brand when new or consolidated contracts began in April and May 2023. The national head office moved to Melbourne's central business district in August 2023. In December 2023, ComfortDelGro entered a proposed scheme of arrangement to purchase A2B Australia, its former joint-venture partner under the Cabcharge name, subject to the required approvals. Separate from the former joint venture, ComfortDelGro acquired Perth-based Swan Taxis in 2010 and Metro WA Taxi Management in 2017. Swan Taxis and the related Purple Coaches business were structured outside ComfortDelGro Corporation Australia's main subsidiary chain. The overall Australian portfolio therefore combines bus, taxi, charter and patient transport businesses under related but not entirely identical corporate structures.
