Overview

CFE is a Belgian construction and engineering group whose origins lie in the development and operation of secondary railway and tramway infrastructure. Established in 1880 as the Compagnie Générale de Chemins de Fer Secondaires, the company initially worked through concessions to build and manage rail and tram lines. Over time, it expanded beyond transport infrastructure into civil engineering, building construction, dredging, technical installations, real estate and investment activities. The company adopted the name Compagnie d’Entreprises, commonly abbreviated as CFE, in 1965. The change reflected the broadening of its activities and its evolution from a railway-focused enterprise into a general contractor. Its historical development included a number of significant combinations and acquisitions. In 1974, CFE and Ackermans & van Haaren combined their dredging activities in Dredging International. That business later became part of DEME, formed in 1991 through the association of Dredging International and Baggerwerken Decloedt. CFE progressively increased its interest in DEME, reaching 50% in 2004 and later 47.8% according to the company’s historical structure before the eventual separation of the businesses. CFE also grew through mergers and acquisitions in Belgian construction and building services. Its 1981 merger with Entreprises Ed. François et Fils made it the largest Belgian construction company at that time. Subsequent transactions brought companies such as Bâtiments et Ponts Construction, Bâtipont Immobilier, Aannemingen Van Wellen, BPC-related entities and numerous specialist technical contractors into the wider group. These additions expanded CFE’s capabilities in building construction, renovation, electrical installations, heating, ventilation and air conditioning, public lighting, rail signalling, underground networks, telecommunications, industrial systems and maintenance. During the 2000s, CFE formalized a divisional structure covering construction, dredging and environment, electricity or multitechnics, and real estate. The multitechnics platform was strengthened through acquisitions in electrotechnical installation, HVAC, refrigeration, sanitary equipment, airport lighting, network infrastructure and automation. Its real estate activities developed alongside construction, enabling the group to participate in property development and related services rather than limiting itself to contracting work. CFE is currently focused on four principal areas: construction and renovation, multitechnics, real estate and investments. The separation from DEME in 2022 marked an important strategic turning point, leaving CFE with a more concentrated profile centered on buildings, infrastructure-related technical services, property development and investments. Ackermans & van Haaren is the controlling shareholder, while CFE remains listed on Euronext Brussels. The group’s historical breadth and Belgian operating base position it as a diversified contractor and development group rather than a consumer-facing product brand.

History

CFE was founded in 1880 as the Compagnie Générale de Chemins de Fer Secondaires, a company dedicated to constructing and operating secondary railway and tram lines through concession arrangements. Its original transport focus gave the company experience in large-scale infrastructure delivery and public works. In 1921, CFE diversified into civil engineering and building construction under the name Compagnie Belge de Chemins de Fer et d’Entreprises. The business broadened further in 1930 with the creation of Société Générale de Dragage, which carried out dredging work in Belgium and abroad. In 1965, the company adopted the name Compagnie d’Entreprises, or CFE, reflecting its transformation into a general contractor with activities extending well beyond railways. The relationship with Ackermans & van Haaren became particularly important in dredging. In 1974, the two companies pooled their dredging activities to create Dredging International. CFE merged with Entreprises Ed. François et Fils in 1981, a transaction that made CFE the largest Belgian construction company. The GTM Group, which had become a shareholder in 1987, became CFE’s principal shareholder in 1989. In 1991, Dredging International and Baggerwerken Decloedt combined to form DEME, creating a major dredging, environmental and marine engineering group connected to CFE. CFE continued to develop through acquisitions and organizational changes during the 1990s and 2000s. It acquired Nizet Entreprise in 1991 and Vanderhoydoncks Multitechnieken in 1999. After Vinci and GTM combined in 2000, CFE increased its participation in DEME to 47.8%. In 2001, the group organized its activities into construction, dredging and environment, and electricity divisions. It also acquired ABEB and combined CFE with Bageci, Investissements et Promotion, and Maatschappij voor Bouw- en Grondwerken. In 2004, CFE acquired Bâtiments et Ponts Construction and Bâtipont Immobilier, raised its participation in DEME to 50%, and established a separate real estate and associated-services division. The company subsequently acquired Aannemingen Van Wellen and expanded its property-management and technical-services activities. Between 2007 and 2011, acquisitions in multitechnics added expertise in industrial installations, restoration, HVAC, refrigeration, electrical contracting, rail signalling, public lighting, underground networks, telecommunications, airport systems and building maintenance. These transactions made CFE a more integrated provider of construction and technical services. The group’s historical portfolio also included interests in businesses such as Terryn, Druart, Brantegem, ETEC and Van De Maele Multi-techniek. Such holdings reflected a strategy of assembling specialist contractors around the core construction business. CFE’s model combined general contracting with technical engineering and real estate development, allowing it to participate in projects from design and installation through construction, development and maintenance. A major structural change occurred in 2022 with the separation from DEME. Following that separation, CFE concentrated on four areas: construction and renovation, multitechnics, real estate and investments. This left the company with a more focused built-environment profile while preserving its diversified technical capabilities. CFE remains a Belgian listed group, with Ackermans & van Haaren as its controlling shareholder.
