Overview

CETIN is a Czech telecommunications infrastructure company and a member of the PPF Group. The company was established in 2015 when O2 Czech Republic was divided into separate infrastructure and retail-oriented businesses. CETIN assumed responsibility for the former operator's fixed-line access network, mobile access network and international telecommunications services, while O2 Czech Republic continued as a communications-services provider. This separation created a wholesale infrastructure company whose principal role is to operate, maintain and develop the networks used by telecommunications providers and other communications customers. The Czech business operates a large national communications platform. Its network includes approximately 65,000 kilometres of optical cable and around 20 million kilometres of metallic cable pairs. Mobile coverage reaches approximately 99.6% of the Czech population through thousands of base stations using GSM, UMTS, LTE and 5G technologies. The fixed network combines access and transport technologies including SDH, WDM, Ethernet and IP. CETIN also maintains international points of presence in London, Vienna, Bratislava, Frankfurt and Hong Kong, supporting cross-border connectivity and wholesale telecommunications services. A central part of CETIN's development strategy has been the modernization of legacy copper infrastructure while expanding fibre access. The company has used technologies such as bonding and vectoring to improve the performance of metallic lines, while also constructing new fibre-optic connections. Its stated development objective has included reaching one million gigabit-capable connections by 2026. The company therefore occupies a position between traditional fixed-network ownership and next-generation broadband infrastructure, combining maintenance of an extensive inherited network with long-term fibre and mobile investment. CETIN became wholly owned by PPF after a squeeze-out of minority shareholders approved at a general meeting in December 2015 and completed in January 2016. In 2020, PPF extended the CETIN model beyond the Czech market. The infrastructure assets associated with the Telenor-branded operations in Bulgaria, Hungary and Serbia were separated from their retail businesses and organized into CETIN Group, a regional wholesale provider of active and passive telecommunications infrastructure. This expanded CETIN's scope from a Czech network company into a Central and Eastern European infrastructure platform. The company has also developed technology partnerships to support mobile-network modernization. In 2020, CETIN signed a five-year agreement with Ericsson covering the upgrade of more than 4,000 mobile base stations and the deployment of equipment capable of supporting both 5G standalone and non-standalone architectures. Beyond network operations, CETIN has participated in public-facing cultural activity, including its role as general partner of the Prague Spring music festival from 2016. In 2021, PPF agreed to sell a 30% stake in the telecommunications infrastructure group to Singaporean investment fund GIC, bringing an additional institutional investor into the ownership structure. CETIN's core identity remains that of a wholesale, asset-intensive network operator rather than a consumer-facing mobile or broadband brand.

History

CETIN emerged from the restructuring of O2 Czech Republic in 2015. At a general meeting on 28 April 2015, shareholders approved the separation of the telecommunications infrastructure activities from the rest of the business. The legal and operational separation took place on 1 June 2015. CETIN became the entity responsible for the fixed access network, mobile access network and international telecommunications services that had previously been operated within the combined O2 Czech Republic structure. The new company inherited an extensive Czech communications network. Its fixed infrastructure included tens of thousands of kilometres of optical cable and a much larger legacy metallic network. Its mobile infrastructure covered nearly the entire Czech population through GSM, UMTS, LTE and, later, 5G technologies. This asset base made CETIN a network owner and wholesale infrastructure provider rather than a conventional consumer telecommunications brand. The separation allowed O2 Czech Republic to concentrate on retail and communications services while CETIN focused on the operation, maintenance and expansion of the underlying network. Ownership consolidated rapidly after formation. PPF Group, which controlled CETIN, decided to squeeze out the remaining minority shareholders at a general meeting held on 3 December 2015. The transfer of the minority-held shares was completed in January 2016, giving PPF 100% of CETIN's share capital. During the same period, CETIN developed a public profile through its partnership with the Prague Spring music festival. From 2016 it served as the festival's general partner and supported an initiative that streamed the opening concert to Kampa Park in Prague and to cinemas in the Czech Republic and Slovakia. Network modernization has been a continuing theme in CETIN's development. The company has sought to improve legacy metallic access through bonding and vectoring while building new fibre-optic connections. These efforts were directed toward increasing the availability of high-speed and gigabit broadband. CETIN also expanded its international network presence through points of presence in London, Vienna, Bratislava, Frankfurt and Hong Kong. In 2020, the CETIN structure was expanded across Central and Eastern Europe. The infrastructure and retail portions of the Telenor-branded operations in Bulgaria, Hungary and Serbia were separated, with the infrastructure assets forming CETIN Group. The resulting group provides active and passive telecommunications infrastructure services to wholesale customers in multiple markets. This represented a strategic shift from a primarily Czech infrastructure company toward a regional network platform. CETIN's mobile-network technology program also advanced in 2020 through a five-year cooperation agreement with Ericsson. The program covered upgrades to more than 4,000 base stations and was designed to support both 5G non-standalone and standalone configurations through Ericsson Radio System equipment. In October 2021, PPF agreed to sell a 30% stake in the telecommunications infrastructure group to GIC, adding a major Singaporean institutional investor to the ownership structure. CETIN's history is consequently defined by separation from an integrated operator, ownership consolidation, infrastructure investment, regional expansion and the transition toward fibre and 5G networks.
