Overview

Bwin.Party Digital Entertainment was an international online gambling company formed when bwin Interactive Entertainment AG and PartyGaming plc completed a merger on 31 March 2011. The combined group brought together bwin's sports-betting, casino, poker and bingo activities with PartyGaming's established online-poker and casino operations. Its best-known consumer brands included bwin, partypoker, PartyCasino, PartyBingo and Foxy Bingo, while the business also operated or supplied a range of regional gaming sites and technology services. The company was headquartered in Gibraltar and was listed on the London Stock Exchange. Following the merger, it described itself as the world's largest publicly traded online gaming business. Ownership of the merged company was divided between the former shareholder bases: PartyGaming shareholders held 48.4 percent and bwin shareholders held 51.6 percent. The group was led initially by joint chief executives Norbert Teufelberger and Jim Ryan. Sports betting was the commercial center of the bwin operation. Customers could place bets across football, tennis, basketball, winter sports, motorsport and numerous smaller sporting categories, as well as selected political and entertainment events. Poker remained a major part of the combined company's identity through PartyPoker and bwin Poker. The poker offering included cash games, scheduled tournaments, Sit & Go competitions and several variants of Texas hold'em, Omaha, Seven Card Stud and related formats. Casino operations covered roulette, blackjack, slots and casino tournaments, while bingo brands acquired through Cashcade extended the group's reach into mass-market online entertainment. Bwin.Party operated in a legally fragmented industry. Rules differed significantly by country, with some jurisdictions licensing private operators, others maintaining state monopolies and others prohibiting or restricting online gambling. The company entered regulated markets such as France, Italy, Spain, Denmark and New Jersey when opportunities arose, but also faced legal and regulatory challenges. Its executives were arrested in France in 2006, before the merger, in connection with alleged breaches of French gambling law; the episode involved bwin's predecessor rather than the merged company. In 2013, Australian authorities referred the bwin arm to the Australian Federal Police over alleged contraventions of the Interactive Gambling Act. The group also pursued extensive sports and entertainment marketing. Bwin sponsored or partnered with football organizations including Real Madrid, AC Milan, Bayern Munich, Olympique de Marseille, Juventus and Werder Bremen, and held naming or sponsorship agreements involving Portuguese football, Italy's Serie B and the Taça de Portugal. It supported basketball competitions associated with FIBA and Euroleague Basketball, sponsored MotoGP events and entered a digital partnership with Manchester United in 2012. In the United States, it partnered with the New Jersey Devils and Philadelphia 76ers in 2014, combining advertising with poker promotions. The company simplified its portfolio during the 2010s. In 2012, bwin sold the Ongame poker network to Amaya Gaming Group for a transaction valued at up to €25 million. PokerRoom.com, an earlier online cardroom associated with bwin, had closed in 2009, relaunched in 2012 and closed again in February 2013. After a contested acquisition process involving 888 Holdings and GVC Holdings, Bwin.Party accepted GVC's offer of £1.1 billion on 4 September 2015. The acquisition completed on 1 February 2016, and the company's London-listed shares were cancelled on 2 February 2016. Bwin.Party therefore ceased to exist as an independent listed company, with parts of its brands and operations absorbed into GVC's later business, now associated with Entain.

History

Bwin.Party's history combined two substantial strands of internet gambling. PartyGaming traced its origins to the launch of Starluck Casino in 1997 and became particularly prominent through PartyPoker. Before the United States enacted the Unlawful Internet Gambling Enforcement Act in 2006, PartyGaming was described as the world's largest online poker business by cash-game revenue and player numbers. The change in the United States legal environment reduced its market share, although PartyPoker remained one of the leading global poker rooms. Bwin developed around online sports betting and expanded into casino, poker and bingo. Its predecessor became involved in legal disputes as European governments developed different approaches to internet gambling. In September 2006, bwin executives Norbert Teufelberger and Manfred Bodner were arrested at a press conference in La Turbie, France, over alleged violations of French gambling law. They were released three days later. France subsequently opened parts of its online gambling market to private operators in 2010, when bwin became one of the first operators to enter. Talk of a bwin–PartyGaming combination began in late 2009. The companies publicly confirmed a planned merger in August 2010, and shareholders received a detailed transaction document in December of that year. Shareholders approved the deal on 28 January 2011, and the merger was completed on 31 March 2011. The resulting company was named Bwin.Party Digital Entertainment, headquartered in Gibraltar and listed on the London Stock Exchange. The ownership structure gave 48.4 percent to former PartyGaming shareholders and 51.6 percent to former bwin shareholders. Norbert Teufelberger and Jim Ryan served as joint chief executives at the outset. The merged group operated a multi-brand portfolio. Bwin supplied the core sports-betting proposition, with markets covering more than 90 sports and a particular emphasis on football. PartyPoker and bwin Poker offered cash games and tournaments in several poker variants, while casino services included roulette, blackjack, slots and casino tournaments. Cashcade, acquired by bwin in 2009, brought online bingo brands such as Foxy Bingo, PartyBingo and Cheeky Bingo into the broader portfolio. The group also retained soft games, casual games and backgammon products. Portfolio management became an important part of the company's later strategy. Bwin sold the Ongame poker network to Amaya Gaming Group in 2012 in a transaction worth up to €25 million. PokerRoom.com, an earlier bwin cardroom that had closed in 2009, was relaunched in 2012 but shut down again in February 2013. In regulated New Jersey, the group received a transactional waiver in November 2013 and launched poker and casino products through a partnership with Borgata Casino. By the end of December, the new New Jersey partypoker service was reported to have captured half of the state's cash-game traffic. Marketing was heavily oriented toward sports. Bwin sponsored major European football clubs and competitions, including Real Madrid, AC Milan, Bayern Munich, Olympique de Marseille, Juventus and Werder Bremen. Its agreements included the naming of Portugal's cup competition as the Bwin Cup and the rebranding of Italy's second football division as Serie bwin. The company also sponsored FIBA and European and world basketball events, participated in Euroleague Basketball marketing, and supported MotoGP races. A 2012 digital partnership made bwin Manchester United's official online gaming and betting partner. In the United States, 2014 agreements with the New Jersey Devils and Philadelphia 76ers linked sports advertising with poker promotions. The company faced opposition to gambling sponsorships as well as regulatory scrutiny. In 2006, Bremen authorities prevented Werder Bremen from displaying the bwin logo on team shirts. In Australia, the Communications and Media Authority referred bwin activity to the Australian Federal Police in 2013 over alleged Interactive Gambling Act contraventions. These issues reflected the different licensing and advertising rules that governed the company's markets. Bwin.Party ultimately became an acquisition target. Following a prolonged contest between GVC Holdings and 888 Holdings, the company announced on 4 September 2015 that it had accepted GVC's offer of £1.1 billion. Completion occurred on 1 February 2016, and the company's shares were cancelled from the London Stock Exchange the following day. Bwin.Party ceased to operate as an independent listed group, although several of its consumer brands and assets continued within GVC's successor businesses.
