Overview
Braas Monier Building Group, also known as Braas Monier and historically associated with the Monier name, was an international building-materials group focused on pitched roofs and related systems. Its product portfolio included concrete and clay roof tiles, roofing accessories, ceramic and steel chimneys, ventilation components, and selected energy-system products. Although the supplied country designation is Germany and the company had deep German operating roots, its corporate headquarters were in Luxembourg. The group's historical foundation lay in Redhill Tile Company, established in the United Kingdom in 1919. The business later became Redland Tiles and expanded through investments and acquisitions across South Africa, Australia, Malaysia, continental Europe, and other international markets. Its development became closely linked with German roof-tile manufacturer Braas, founded by Rudolf Braas. Redland acquired a majority interest in Braas in the early 1950s, and the businesses subsequently developed a broad international manufacturing and sales network. A major product milestone was the launch of the Frankfurter Pfanne concrete roof tile by Braas in 1954. The model became one of Germany's most widely used concrete roof tiles and remained a signature product of the Braas brand. The group also built a portfolio of regional and specialist brands. These included Braas in several central and eastern European markets, Bramac in southeastern Europe, Cobert in Spain and Portugal, Coverland in South Africa, Monier in parts of western, northern, eastern, and southern Europe and Asia, Redland in the United Kingdom and Ireland, Schiedel for chimneys and energy systems, and Wierer in Italy. Corporate ownership changed repeatedly. Redland and Braas combined their roof-tile activities in 1996 to form Redland Braas Building Group. Lafarge acquired Redland in 1997 and operated the business as Lafarge Roofing. In 2007, Lafarge sold a majority interest to PAI Partners, with Lafarge retaining a minority holding, and the business adopted the Monier name in 2008. A debt-for-equity restructuring in 2010 transferred control to Apollo Global Management, TowerBrook Capital Partners, and York Capital Management. The company adopted the name Braas Monier Building Group in 2013 and entered the Frankfurt Stock Exchange's Prime Standard in 2014. Expansion continued through acquisitions, including Bramac, the Spanish and Portuguese Cobert businesses, Golden Clay Industries in Malaysia, Ceprano Coperture in Italy, and J.A. Plastindustri in Denmark. By the end of 2016, the group reported operations in 36 countries and 121 production facilities, with 7,922 employees and revenue of €1,235.8 million for 2016. These figures are historical and describe the group before its acquisition by Standard Industries. On 3 April 2017, Standard Industries acquired Braas Monier Building Group. Together with Icopal, a flat-roof systems business, it became part of BMI Group, Standard Industries' roofing platform in Europe and other markets. The acquisition ended Braas Monier's independent public-company existence. The operating brands and product capabilities continued within BMI Group, while the former Braas Monier corporate identity ceased to function as an independent listed group.
History
Braas Monier's history combines the development of British, German, and later international roofing businesses. The earliest predecessor was Redhill Tile Company, founded in the United Kingdom in 1919. It began making concrete roof tiles in the same year and changed its name to Redland Tiles in 1946. During the late 1940s and early 1950s, Redland expanded outside Britain, including through investments in South Africa, Australia, and Malaysia. The business became closely connected with Braas, a German roof-tile manufacturer founded by Rudolf Braas. Redland acquired a majority interest in Braas in the early 1950s, and a parent plant was established at Heusenstamm near Frankfurt. Braas launched the Frankfurter Pfanne concrete roof tile in 1954. The product became a major German roofing model, supported by long material and frost-resistance guarantees and later marketed internationally. International expansion accelerated from the 1960s through the 1970s. The group entered additional southeastern European markets and later expanded into Japan, Indonesia, Malaysia, and the United States. From the 1990s it entered or strengthened operations in Scandinavia, the Baltic states, Poland, and Russia. Acquisitions added specialist capabilities, including Schiedel, a chimney and energy-systems manufacturer, and Klöber, a roofing-accessories business. In 1996, Redland and Braas combined their roofing activities as Redland Braas Building Group. Lafarge acquired Redland the following year and reorganized the business as Lafarge Roofing. In 2007, Lafarge sold a majority stake to PAI Partners, retaining a minority interest. The company adopted the Monier name in 2008. A debt-for-equity restructuring in 2010 transferred joint control to Apollo Global Management, TowerBrook Capital Partners, and York Capital Management. The group changed its name to Braas Monier Building Group in 2013 and went public on the Frankfurt Stock Exchange in 2014. Its acquisition program continued with full ownership of Bramac, the Cobert roof-tile operations in Spain and Portugal, Golden Clay Industries in Malaysia, Ceprano Coperture in Italy, and J.A. Plastindustri in Denmark. By 31 December 2016, the group stated that it operated in 36 countries with 121 production facilities and 7,922 employees. Its reported 2016 revenue was €1,235.8 million. The group also maintained technical centers in Heusenstamm and Crawley. Research and testing covered wind loading, fire behavior, weather resistance, ventilation, and other roof-performance criteria. A wind tunnel at Heusenstamm was used to reproduce severe weather conditions and test roof systems under combinations of wind, rain, and changing roof pitch. Standard Industries acquired Braas Monier Building Group on 3 April 2017. The business was combined with Icopal within BMI Group, creating a broader roofing platform covering pitched- and flat-roof systems. Following the transaction, Braas Monier ceased to exist as an independent listed company, while many of its brands, facilities, products, and technical capabilities continued under the BMI organization.
