Overview

Atevia AG is a German development and holding company with a focus on internet services and digital communication, headquartered in Karlsruhe. It is the successor to Kizoo AG, which in turn emerged from ComBOTS AG, a company that was renamed from WEB.DE AG after the sale of the web.de portal business to United Internet AG in 2005. The company was originally founded as Kizoo AG on 6 May 2008, following the short-lived ComBOTS AG. In June 2012, Kizoo AG was renamed Atevia AG. The company was publicly listed on the Frankfurt Stock Exchange and later on the Munich Stock Exchange, but was delisted in 2016 after a squeeze-out by its majority shareholder, Cinetic Gesellschaft zur Entwicklung und Vertrieb von Medientechnik mbH. Today, Atevia operates as a holding and development company, though its current activities and portfolio are not widely publicized. Its official website domain is registered but currently shows a placeholder page from the domain registrar united-domains, indicating that the website is not yet fully operational or has been taken down.

History

The history of Atevia AG is closely tied to the evolution of its predecessors, WEB.DE AG, ComBOTS AG, and Kizoo AG. WEB.DE AG was a German internet company that operated the web.de portal and telecommunications services. On 31 October 2005, WEB.DE AG sold its portal business to United Internet AG, including the web.de brand. As a result, the remaining company, which retained the telecommunications business, was required to change its name. It was renamed ComBOTS AG, and its stock ticker changed from WEB to CMBT in December 2005. ComBOTS AG aimed to become the world leader in Personal Digital Communication and developed a communication software called ComBOTS. The software was presented on 13 July 2006 at the annual general meeting and officially launched at IFA Berlin in September 2006 as a public beta. It featured instant messaging, VoIP, file sharing, and animated manga-style avatars. However, the product was only available for Windows XP, Vista, and Symbian Series 60, and the market reaction was poor; the stock price fell by more than 25% within days of the presentation. ComBOTS AG was listed on the TecDAX until September 2006. On 6 May 2008, ComBOTS AG was renamed Kizoo AG. Kizoo AG continued as a development and holding company. In March 2009, its market capitalization was approximately 126.2 million euros. Major shareholders included Cinetic Medientechnik GmbH (owned by Matthias and Michael Greve) with 68.07% and Master Hedge Kapitalanlagegesellschaft mbH with 3.01%, while 28.92% was in free float. In October 2009, Kizoo AG applied to move its listing from the Prime Standard to the General Standard of the Frankfurt Stock Exchange to reduce costs. In November 2012, it was admitted to the m:access segment of the Munich Stock Exchange and subsequently gave up its listing on the regulated market in Frankfurt. On 5 June 2012, the company was renamed Atevia AG, as announced on 13 June 2012. In February 2016, the majority shareholder Cinetic GmbH, holding over 95% of shares, announced a squeeze-out to acquire minority shares. In May 2016, the compensation was set at 7.13 euros per share, and the squeeze-out was completed in August 2016 with registration in the commercial register. The listing on the Munich Stock Exchange and free float trading ended. Since then, Atevia AG has operated as a private holding company.
