Overview

Alphabet Inc. is an American multinational technology holding company headquartered in Mountain View, California. It was created on October 2, 2015, when Google reorganized its corporate structure so that Google could focus on its core internet businesses while a new parent company oversaw a broader portfolio of technology ventures and capital investments. Larry Page and Sergey Brin, Google's co-founders, established the structure and initially served as Alphabet's chief executive and president respectively. Google remains Alphabet's dominant operating subsidiary. Its activities include web search, online advertising, YouTube, Android, Google Maps, consumer hardware, artificial intelligence, and Google Cloud. These businesses reach users, advertisers, developers, enterprises, and public-sector customers in markets around the world. Advertising has historically supplied the largest share of Alphabet's revenue, particularly through Google Search, Google Ads, AdSense, and advertising on YouTube. Google Cloud and subscription services have become increasingly important alongside hardware and AI-related products. Alphabet's holding-company model was designed to give businesses outside Google's mature internet operations greater managerial independence and to make financial reporting, oversight, and capital allocation more transparent. The portfolio has included X, the company's research and development laboratory; Waymo, focused on autonomous driving; Verily, focused on life sciences and healthcare technology; Calico, focused on aging research; GV and CapitalG, which invest in technology companies; and other ventures. Some projects have been closed, spun out, sold, or folded back into Google when they did not achieve a sustainable business model. The company has a dual-class share structure. Class A shares carry one vote per share, Class C shares generally carry no voting rights, and Class B shares held mainly by insiders carry enhanced voting power. This arrangement has allowed Page and Brin to retain substantial influence over corporate decisions despite owning a minority of the economic interest. Alphabet trades on Nasdaq under GOOGL and GOOG and is included in major equity indexes. Alphabet is commonly grouped with the largest global technology companies. Its strategic priorities include artificial intelligence, cloud infrastructure, digital advertising, cybersecurity, quantum computing research, autonomous mobility, and other long-term technologies. At the same time, it faces continuing scrutiny over antitrust, privacy, content moderation, labor relations, data practices, tax matters, and the competitive effects of its control over search, advertising technology, mobile software, and online video. In 2019, Sundar Pichai became chief executive of both Google and Alphabet, while Page and Brin stepped away from day-to-day executive roles and remained directors and controlling shareholders.

History

Alphabet's origins lie in Google's rapid expansion beyond web search. Google was founded in 1998 by Larry Page and Sergey Brin and developed from a search-engine company into a broad technology group spanning advertising, online video, mobile software, cloud computing, consumer hardware, research, and experimental ventures. As the range of businesses grew, the founders concluded that the central Google organization needed a narrower operating focus and that unrelated projects required more independent leadership and accountability. On August 10, 2015, Page announced the creation of Alphabet Inc. as a new public holding company. The reorganization was completed on October 2, 2015. Google became Alphabet's principal subsidiary, while activities such as X, Calico, Nest, Verily, Fiber, GV, and CapitalG were placed within the wider group or its reporting structure. The transaction was structured so that Google's existing stock history and Nasdaq trading symbols continued under Alphabet. Class A shares trade under GOOGL and Class C shares under GOOG, while the founders' Class B shares preserve enhanced voting rights. Page became Alphabet's first chief executive and Brin became president. Sundar Pichai, previously a senior Google product executive, became Google's chief executive and oversaw the core operating business. The model was influenced in part by diversified holding companies such as Berkshire Hathaway: mature subsidiaries could be run by specialized leaders while the parent company concentrated on governance, investment, and portfolio decisions. The structure changed as Alphabet evaluated individual ventures. Nest was brought into Google in 2018, and Chronicle was combined with Google Cloud in 2019. Sidewalk Labs was absorbed into Google in 2021. Alphabet also closed Loon, its high-altitude internet project, in 2021 after concluding that it lacked a scalable and sustainable commercial model. Other initiatives were spun out, including Intrinsic, a robotics-software company created from X, and Isomorphic Labs, an AI drug-discovery company announced in 2021 and associated with DeepMind leadership. Waymo, Verily, Calico, GV, CapitalG, and X remained important examples of Alphabet's effort to maintain a portfolio beyond Google's main advertising and consumer platforms. In December 2019, Page and Brin announced that they would leave their executive positions while remaining directors, employees, and influential shareholders. Pichai became Alphabet's chief executive in addition to continuing as Google's chief executive. Under his leadership, Alphabet placed increasing emphasis on artificial intelligence, cloud computing, data-center infrastructure, and the integration of AI into Search, Workspace, Android, YouTube, and enterprise products. Alphabet has also experienced significant institutional and regulatory pressure. Authorities and courts in the United States, European Union, France, Japan, and other jurisdictions have examined its search, advertising, mobile, data, and platform practices. The company has faced privacy disputes, labor and organizing controversies, litigation involving autonomous-driving technology, and criticism over content governance and workforce reductions. These issues coexist with strong investment in research and development, including AI systems, autonomous vehicles, quantum-computing research, and health technology. Alphabet therefore operates both as the corporate parent of a highly profitable global internet business and as a long-term technology investment platform.
