Overview
Alliance Witan plc is a United Kingdom investment trust and financial-services company whose principal activity is the management of a diversified portfolio of global investments for shareholders. The business traces its origins to 1888, when three Dundee-based mortgage and land companies combined to form Alliance Trust. Over time, the trust expanded beyond its original lending and land-related activities into fixed income, equities and other asset classes, becoming one of the UK's established investment companies. The present Alliance Witan identity emerged from the combination of Alliance Trust and Witan Investment Trust. In June 2024, the proposed transaction was announced as a merger implemented through the voluntary winding-up of Witan Investment Trust. Alliance Trust formally adopted the Alliance Witan name on 11 October 2024, and four former Witan directors joined the board as non-executive directors. The transaction combined two long-standing listed investment-company franchises while retaining a global, diversified investment mandate. Alliance Witan is not primarily a consumer-facing product brand or an operating company that manufactures goods. Its core offering is a listed investment trust: investors buy shares in the company and obtain indirect exposure to a portfolio of assets selected under the trust's investment policy. The structure is intended to provide diversification across regions, sectors and asset classes through a single listed vehicle. Shareholders' returns depend on portfolio performance, dividends, costs, the relationship between the market price and net asset value, and broader market conditions. Since 2017, the trust has used a multi-manager model. The board announced the change in investment philosophy in December 2016, shareholders approved it in March 2017, and Willis Towers Watson became investment manager from 1 April 2017. This approach uses a number of specialist external managers rather than relying exclusively on a single internal stock-selection team. It forms a central part of the organisation's positioning as a global, long-term and diversified investment vehicle. The organisation's history also includes financial-services operations adjacent to the investment trust. Alliance Trust established a savings division in 1986 offering pensions and other investment products. Alliance Trust Savings later acquired Stocktrade from Brewin Dolphin in 2015. Alliance Trust Savings was sold to Interactive Investor in 2018 for £40 million, including the West Marketgait office building, and Stocktrade was subsequently sold to Embark Group in 2019. These disposals left the listed investment trust as the central focus of the business. Alliance Witan has roots in Dundee but its management operations were transferred to London following the end of the trust's self-management arrangement and the appointment of Willis Towers Watson. The company remains associated with the UK listed investment-company sector and is described as a constituent of the FTSE 100 Index. Its historical identity combines a long-established Scottish investment institution with a modern global portfolio and outsourced multi-manager structure.
History
Alliance Witan's history begins with Alliance Trust, established in Dundee in 1888 through the combination of the Dundee Investment Company, the Dundee Mortgage and Trust Investment Company, and the Oregon and Washington Trust. The latter had been created to provide loans to immigrant farmers on the west coast of the United States. The early organisation attracted investment from prominent Dundee merchants, shipowners, textile manufacturers and other local business figures. In 1918, Alliance Trust agreed to share premises and certain costs with the Western & Hawaiian Investment Company, a mortgage lender originally associated with sugar growers in Hawaii. The associated business was renamed The Second Alliance Trust in 1923, although the two organisations did not legally merge until 2006. During the 1920s and 1930s, the trusts broadened their activities into fixed-income investments. From the late 1950s, equities became a significant part of their portfolios, reflecting the wider development of investment trusts as vehicles for pooled exposure to public companies. Alliance Trust established a savings division in 1986, extending its activities into pensions and other investment products. The formal combination with The Second Alliance Trust took place in 2006. The Second Alliance Trust became a private company wholly owned by Alliance Trust, while its shareholders received new Alliance Trust shares. In 2009, Alliance Trust left Meadow House on Dundee's Reform Street, its headquarters for more than 90 years, and moved to a purpose-built facility at West Marketgait in Dundee city centre. The trust later underwent a significant governance and investment-management transition. Following the resignation of Katherine Garrett-Cox, the organisation ended its self-managed model. In December 2016, the board proposed adopting a multi-manager investment philosophy, and shareholders approved the change in March 2017. Willis Towers Watson became investment manager on 1 April 2017, transferring management activity to London. The shift placed greater emphasis on selecting and overseeing specialist external managers and on constructing a diversified global portfolio. Alliance Trust also rationalised its financial-services activities. Alliance Trust Savings acquired Stocktrade from Brewin Dolphin in 2015. Alliance Trust Savings was sold to Interactive Investor in 2018 for £40 million, including the West Marketgait property, while Stocktrade was sold to Embark Group in 2019. These transactions reduced the scope of the group outside its core investment-trust activity. The trust's archival importance was recognised in 2011, when the University of Dundee Archive Services became custodian of its extensive historical records. In 2016, activist shareholder Elliott Advisors criticised the company, after which Katherine Garrett-Cox stood down as chief executive and left the business. Dean Buckley succeeded Gregor Stewart as chairman in January 2024. In June 2024, Alliance Trust and Witan Investment Trust announced a combination intended to create Alliance Witan. The transaction was structured around the voluntary winding-up of Witan. Alliance Trust formally changed its name to Alliance Witan on 11 October 2024, and four former Witan directors were appointed non-executive directors. The resulting organisation carries forward Alliance Trust's long history while combining it with Witan's investment-company heritage and maintaining a global, diversified investment mandate.
