Overview
Aegon is an international financial services group whose principal activities have historically centered on life insurance, pensions, retirement savings, long-term protection and asset management. The group was created in the Netherlands in 1983 through the merger of AGO Holding and Ennia, bringing together insurance businesses with roots in several Dutch mutual and commercial insurers. From that foundation, Aegon developed an international portfolio through acquisitions, partnerships and organic expansion. Aegon subsequently developed a revised oil-and-gas policy and decided in 2019 to discontinue oil-sands investments. A major strategic change occurred in the Netherlands. In 2022, Aegon announced an agreement to transfer its Dutch insurance and related activities to a.s.r., with Aegon receiving a substantial ownership interest in the enlarged Dutch insurer. The transaction was completed in 2023. The Aegon trade name associated with the transferred insurance operations was to be replaced by the a.s.r. identity, while businesses such as Knab and TKP retained their names. The transaction reduced Aegon’s direct Dutch operating footprint and reinforced its focus on selected international markets, especially the United States, together with retirement, savings and asset-management activities. Aegon has also used sponsorship and brand partnerships to raise awareness. Its historical sponsorships included AFC Ajax in Dutch football and the Lawn Tennis Association in the United Kingdom. History
Aegon’s corporate history begins with the consolidation of several Dutch insurance businesses. AGO Holding was created in 1968 through the combination of Algemeene Friesche, Groot-Noordhollandsche and Olveh. Ennia was formed in 1969 through the merger of Eerste Nederlandsche and Nillmij, an insurer with roots in the former Dutch East Indies insurance market. AGO and Ennia merged in 1983, creating the group that adopted the Aegon name. The company’s early development was based on life insurance and other long-term financial products. It subsequently expanded outside the Netherlands through acquisitions and local operating structures. In 1994, Aegon acquired Scottish Equitable, establishing an important platform in the United Kingdom. In 1998, it created Stonebridge International Insurance to market personal insurance products, including accident, health and unemployment cover, both directly and through business partners. In 1999, Aegon acquired the life-assurance business of Guardian Royal Exchange and also purchased Transamerica Corporation. The Transamerica acquisition became central to Aegon’s position in the United States and provided a brand with a long pre-existing history in American insurance and financial services. Aegon continued to build its American business through distribution and product partnerships. In 2007, it announced a strategic relationship with Merrill Lynch covering life insurance and investment products and acquired two Merrill Lynch life-insurance companies for a reported US$1.3 billion. In 2011, Aegon USA announced that its principal American businesses would be organized under the Transamerica name, bringing life insurance, investment and retirement operations under a more unified consumer-facing identity. World Financial Group also became an important distribution and financial-services platform within the North American portfolio. The 2008 global financial crisis created a significant capital challenge. In October of that year, the Dutch government and De Nederlandsche Bank agreed to provide Aegon with €3 billion of capital support in exchange for convertible securities. Aegon later repurchased the securities, completing the key repayment objective in 2011. The total amount paid to the Dutch state included the original capital, premium and interest. This episode became an important part of the group’s financial and capital-management history. In Europe, Aegon maintained operations in the United Kingdom, Spain, Hungary, Poland and other markets. Its business scope extended beyond life insurance to pensions, annuities, savings, investment management, supplemental health and accident insurance, and limited banking. In the Netherlands, Aegon was associated with businesses including Knab, TKP Pensioen and mortgage and savings activities. Knab was established as a direct bank and attracted criticism over the cost of its transaction account; the bank responded that competing institutions often embedded comparable charges elsewhere in their product structures. Aegon also encountered environmental-policy scrutiny. In 2018, Greenpeace criticized investments connected with oil-sands companies and pipeline infrastructure. Aegon stated that it was developing a new policy for the oil and gas sector and in 2019 decided to discontinue oil-sands investments. The matter illustrated the growing importance of environmental restrictions and responsible-investment policies for large insurers and asset managers. In 2020, Lard Friese succeeded Alex Wynaendts as chief executive. Under the subsequent portfolio strategy, Aegon placed greater emphasis on capital allocation, selected international markets and long-term savings and retirement activities. In 2022, the company agreed to transfer its Dutch insurance and related businesses to a.s.r. The transaction was completed in 2023 and included a significant ownership interest in the combined Dutch insurer. The Aegon name in the transferred insurance operations was expected to be replaced by a.s.r., while Knab and TKP retained their identities.
