Wolong Materials alleges Changyuan Group bypassed its purchase rights

    Issue disclosure

Wolong Materials alleged that Changyuan Group's sale of its 100% stake in Dongguan Kangye was effectively a sale of land and factory buildings, and that Changyuan failed to honor Wolong's preemptive purchase right. Changyuan stated that it was selling equity rather than the leased property, and that the tenant's statutory preemptive-purchase rules did not apply to the transaction. The dispute centers on whether the equity transfer should be treated as a transfer of the underlying real property for purposes of the tenant's right of first refusal.
