Overview
STV Group plc is a Scottish media company headquartered at Pacific Quay in Glasgow. Its principal consumer-facing brand is STV, the licensed ITV network broadcaster for Scotland. The company operates two regional ITV licences: STV Central, serving Central Scotland, and STV North, serving northern Scotland. Alongside scheduled broadcast television, the group distributes programming through STV Player, its video-on-demand and streaming service, and produces television through STV Studios. The business traces its broadcasting history to Scottish Television, which began transmitting in August 1957. Over time, the company expanded beyond television into newspapers, radio, outdoor advertising, cinema advertising, sports ownership and digital media. This diversified structure was reflected in successive corporate names. Scottish Television became Scottish Media Group in 1996 after the acquisition of Caledonian Publishing, then SMG plc in 2000 as the group broadened its portfolio. The company subsequently reversed much of that diversification, selling or exiting non-core assets and refocusing on television. The corporate name STV Group plc was adopted in 2008 to emphasize the group’s television franchises and production activities. STV Studios is the group’s production arm, developing and producing drama, factual programming, entertainment and children’s content for UK broadcasters and other platforms. The production business has roots in the former SMG Productions and includes Ginger Productions, the London-based company acquired through the 2000 purchase of Ginger Media Group. STV Creative provides commercial production and advertising-related creative services. The company has also been involved in major changes in the UK broadcasting market. It held a minority stake in GMTV before selling it to ITV in 2004, considered and rejected merger proposals involving UTV, and became involved in a high-profile commercial dispute with ITV concerning network programming contributions and advertising arrangements. That dispute was settled in 2011. After its restructuring and divestment programme, STV Group’s core activities became broadcast television, video-on-demand and television production. It is listed on the London Stock Exchange and has been included in the FTSE SmallCap Index.
History
STV Group’s history begins with Scottish Television, which started broadcasting in August 1957 as the ITV franchise holder for central Scotland. The company established a durable role in Scottish broadcasting by combining national ITV network programming with material produced for Scottish audiences. Its original broadcasting identity was later revived when the group returned to the STV name in the 2000s. A major phase of diversification began in the 1990s. In 1996, Scottish Television acquired Caledonian Publishing, the owner of newspapers including The Herald and the Evening Times, and changed its corporate name to Scottish Media Group. In 1997, the company acquired Grampian Television, the ITV franchise holder for northern Scotland, and also acquired a minority interest in UTV. The group expanded further around the turn of the century, acquiring interests in outdoor advertising, cinema advertising, radio and television production. The 2000 acquisition of Ginger Media Group brought Ginger Television and the original Virgin Radio UK into the portfolio. The company adopted the shorter name SMG plc in 2000. During this period, SMG pursued several investments and corporate opportunities. It acquired a quarter of GMTV, the ITV breakfast television joint venture, after negotiations involving other shareholders. It also held a significant minority stake in Scottish Radio Holdings and invested in Heart of Midlothian Football Club. Some proposed transactions did not proceed, including possible combinations involving UTV and other ITV franchise interests. The group’s increasingly diverse portfolio was accompanied by substantial debt and pressure to improve the performance of its assets. A restructuring programme followed in the second half of the 2000s. Andrew Flanagan resigned as chief executive in 2006, and Rob Woodward became chief executive in 2007. Woodward initiated a programme of asset disposals intended to reduce complexity and focus the company on television. Primesight, the outdoor advertising business, was sold in 2007. Virgin Radio was sold in 2008, and other non-television assets, including Pearl & Dean, were subsequently disposed of. SMG also sold its stake in Scottish Radio Holdings and exited GMTV, with ITV acquiring its 25 percent GMTV holding in 2004. In 2008, shareholders approved the adoption of the name STV Group plc. The new identity signalled a renewed emphasis on the STV television brand, the two Scottish ITV licences and the group’s production operations. The regional services were unified under the STV identity in 2006: Scottish Television became associated with STV Central, while Grampian Television became STV North. The change created a single recognizable consumer brand while retaining separate regional licence obligations and news coverage. Digital development became increasingly important. The former SMG operated S2, a digital terrestrial channel that launched in 1999 and was later replaced by ITV2. STV HD launched in 2010. The company subsequently entered local television, receiving licences for Glasgow and Edinburgh in 2013 and launching STV Glasgow in 2014 and STV Edinburgh in 2015. Additional local licences followed for Aberdeen, Ayr and Dundee. The Glasgow and Edinburgh services were brought together as STV2 in 2017, but the service closed in 2018. STV expanded its on-demand proposition through STV Player, which provides live and catch-up access to STV programming and additional content. At the same time, STV Studios developed into a significant production business serving UK terrestrial broadcasters, satellite and cable channels, and digital platforms. Its activities span drama, factual programming, entertainment and children’s content, with operations in Scotland and London. Ginger Productions remains part of the production arm following its acquisition through the Ginger Media Group transaction. The company’s relationship with ITV has periodically been commercially contentious. In 2009, ITV announced legal proceedings over an alleged unpaid amount connected with STV’s decisions to omit certain ITV network programmes from its schedules. STV maintained a counterclaim concerning money it said ITV owed under advertising sales agreements. Both claims were settled in 2011, with the agreement including a payment by STV to ITV. Following its restructuring, STV Group became primarily a broadcaster, streaming operator and television producer rather than a diversified media conglomerate. It remains a London-listed public company with a core geographic identity in Scotland.
