Overview
Otter Media was an American digital media company established in April 2014 as a 50:50 joint venture between AT&T and The Chernin Group. Its purpose was to build and operate consumer-facing over-the-top, or OTT, media services at a time when online video, subscription streaming and digitally native entertainment brands were becoming strategically important to large media companies. The venture was initially associated with Crunchyroll, the anime-focused streaming service in which The Chernin Group had invested in 2013, and subsequently became a holding and operating platform for a broader portfolio of digital entertainment businesses. The company’s portfolio included Crunchyroll and VRV through Ellation, Rooster Teeth, Fullscreen, Machinima, and minority or joint-venture interests in businesses such as Gunpowder & Sky and Hello Sunshine. These assets covered subscription video, advertising-supported online video, creator and fan communities, digital production, gaming, and genre-focused entertainment. Rather than operating as a single consumer brand in the manner of a conventional television network, Otter Media functioned primarily as a corporate vehicle that assembled, financed, reorganized and developed specialized digital media properties. Otter expanded its portfolio during 2016. It invested in Gunpowder & Sky, a digital content company founded by Van Toffler and Floris Bauer, and formed Hello Sunshine with Reese Witherspoon and other partners to develop female-driven film, television and digital content. In January 2018, Otter acquired the remaining interest in Ellation, bringing the operator of Crunchyroll and VRV fully into its structure and making Ellation its consumer division. Ellation subsequently established Ellation Studios, with production facilities in the United States and Japan, to create original programming for Crunchyroll and VRV. The ownership structure changed after AT&T acquired Time Warner in 2018. On August 7, 2018, AT&T announced that it had acquired The Chernin Group’s remaining interest in Otter Media. The transaction amount was not disclosed in the announcement, although contemporary reporting widely estimated its value at approximately $1 billion. Otter thereafter became a wholly owned AT&T subsidiary within the broader WarnerMedia organization. In December 2018, it announced a significant restructuring, including workforce reductions reported at approximately ten percent, and changed the alignment of several digital assets. Ellation became the home for Rooster Teeth, Crunchyroll and VRV, while Machinima was moved into Fullscreen. During 2019, WarnerMedia continued to revise its organizational structure. Otter Media became part of Warner Bros. Entertainment in March and was folded into WarnerMedia Entertainment in May. The corporate identity consequently became less prominent as its operating businesses were absorbed into larger WarnerMedia and later Warner Bros. Discovery structures. The most consequential divestiture was the sale of Crunchyroll to Sony’s Funimation Global Group. Announced in December 2020 for $1.175 billion and completed on August 9, 2021, the transaction transferred one of Otter’s best-known assets to Sony’s anime-streaming business. Following these reorganizations and disposals, Otter Media no longer operated as an independent corporate platform, and its status is best understood as defunct or absorbed rather than active.
History
Otter Media emerged from the convergence of telecommunications, traditional entertainment and internet distribution. In April 2014, AT&T and The Chernin Group established the company as an equal joint venture intended to develop OTT services. The venture built on The Chernin Group’s earlier investment in Crunchyroll, an anime streaming service with a strong international fan base. This gave Otter an initial operating asset in a specialized subscription category and a foundation for pursuing additional digital media opportunities. In January 2016, Otter invested in Gunpowder & Sky, the digital content company founded by former Viacom Media Networks Music Group chief Van Toffler and Floris Bauer. Gunpowder & Sky later merged with FilmBuff, reinforcing Otter’s interest in independent and digitally distributed content. That same year, Otter partnered with actress Reese Witherspoon and other participants to create Hello Sunshine. The venture focused on stories centered on women and was designed to develop content across film, television and digital platforms. Hello Sunshine was later sold to a media company backed by Blackstone, ending Otter’s involvement in that business. Otter’s portfolio became more integrated in January 2018 when it bought the remaining stake in Ellation, the company behind Crunchyroll and VRV. Ellation was made Otter’s consumer division, bringing major streaming brands under a common operating structure. In August 2018, Ellation announced Ellation Studios, with facilities in the United States and Japan, to produce original content for its streaming services. The move reflected the industry’s shift from merely licensing catalogs toward commissioning and owning exclusive programming. AT&T’s acquisition of Time Warner changed Otter Media’s corporate context. In August 2018, AT&T announced that it had acquired The Chernin Group’s interest in Otter Media, converting the joint venture into a wholly owned AT&T subsidiary. The price was not disclosed by the parties. After the change in ownership, Otter became part of the WarnerMedia organization and participated in a wider effort to rationalize digital video assets. A December 2018 restructuring reportedly eliminated approximately ten percent of Otter’s staff. The reorganization also altered the placement of portfolio companies: Ellation was assigned Rooster Teeth, Crunchyroll and VRV, while Machinima was moved to Fullscreen. WarnerMedia continued to reorganize Otter’s position in 2019. In March, Otter Media became part of Warner Bros. Entertainment, and in May it was folded into the WarnerMedia Entertainment division. These moves reduced the autonomy and visibility of Otter as a standalone corporate platform, even though several of its underlying businesses continued operating within WarnerMedia. The decisive portfolio change came with Crunchyroll. In December 2020, Sony-owned Funimation Global Group agreed to acquire the anime service from WarnerMedia for $1.175 billion. The transaction closed on August 9, 2021. The disposal transferred a strategically important streaming property to Sony’s anime business and marked the end of Otter’s role as the effective owner of Crunchyroll. Together with the absorption of other assets into WarnerMedia and subsequent corporate restructuring, the transaction left Otter Media without the independent operating identity it had possessed during its joint-venture period. The company is therefore generally treated as defunct, absorbed or no longer independently active.
