Overview
Orbcomm is a United States-based industrial Internet of Things and satellite communications company. Its products are designed to track, monitor, and control fixed and mobile assets, combining satellite communications with cellular connectivity, specialized hardware, web applications, and data services. The company serves transportation and logistics, heavy equipment, maritime, oil and gas, utilities, government, and other industrial markets where assets may operate beyond reliable terrestrial network coverage. The business originated from a low-Earth-orbit satellite communications program conceived by Orbital Sciences Corporation in the late 1980s. Orbcomm pursued regulatory authorization, ground infrastructure, satellite design, modem development, and international distribution simultaneously. After spectrum support for non-voice mobile-satellite services was established at the 1992 World Administrative Radio Conference, Orbcomm developed a commercial system aimed at short data messages rather than voice calls. Its first commercial global mobile-data service began in February 1996, and the company later inaugurated full commercial service in November 1998. Orbcomm's network historically centered on small low-Earth-orbit satellites and gateway earth stations. The system was optimized for compact machine-to-machine messages such as GPS positions, sensor readings, alarms, and status reports. It subsequently expanded through cellular networks, additional satellite capacity, software platforms, and acquisitions. Some offerings obtained through the SkyWave acquisition use Inmarsat geostationary satellite capacity rather than Orbcomm's own LEO constellation, giving the company a broader connectivity portfolio. Orbcomm's customer base has included original equipment manufacturers and large enterprise users. Referenced OEM relationships include Caterpillar, Doosan Infracore America, Hitachi Construction Machinery, John Deere, Komatsu, and Volvo Construction Equipment. By June 30, 2021, the company reported more than 2.3 million billable subscriber communicators and operated or controlled a global network comprising 31 LEO communications satellites and associated ground infrastructure, including 16 gateway earth stations. The company experienced financial distress during the early satellite-industry downturn and entered Chapter 11 protection in September 2000. Private investors acquired the operating assets and relevant licenses in 2001, after which Orbcomm rebuilt its business around industrial asset tracking and monitoring. It became publicly traded in 2006, but was acquired by GI Partners in an all-cash transaction completed in September 2021. The transaction valued Orbcomm at approximately $1.1 billion including net debt, and its common stock ceased trading on Nasdaq. Orbcomm remains an active industrial connectivity brand, with its present proposition focused on integrated device, network, application, and analytics services rather than consumer communications.
History
Orbcomm's origins lie in a low-Earth-orbit satellite communications concept developed by Orbital Sciences Corporation in the late 1980s. In 1990, Orbital submitted an application to the United States Federal Communications Commission for a constellation of small satellites supporting global commercial messaging and data communications. The program required simultaneous work on spectrum, licensing, satellites, gateways, modems, and international distribution. The 1992 World Administrative Radio Conference supported spectrum allocation for non-voice, non-geostationary mobile-satellite services. Orbital subsequently established Orbcomm as a dedicated program and wholly owned subsidiary. In the same year it formed Orbcomm Global L.P., an equal partnership with Teleglobe Mobile Partners. Teleglobe invested in the project and supplied international distribution support, while Orbital undertook satellite, control-center, network-center, and United States gateway development. Orbital also developed demonstration spacecraft and tested the technical concept. Orbcomm X was lost after one orbit, while Communications Demonstration Satellites 1 and 2 were used to validate the network design. Modem development involved Panasonic's Kyushu Matsushita division, Israel's Elisra Electronic Systems, and Torrey Science & Technology. Panasonic supplied the first approved mobile earth station in 1995, followed by products from Elisra and Torrey Science. Orbcomm received a full FCC license in 1995 authorizing a network with up to 200,000 mobile earth stations. Two satellites launched in April 1995, enabling network testing. Commercial global mobile-data service began in February 1996. During the same period, Orbcomm expanded international licensing, including a 1996 agreement with Technology Resources Industries for Singapore, Malaysia, and Brunei. The partner acquired a 15 percent stake in Orbcomm, while Teleglobe held 35 percent and Orbital held the balance. The constellation expanded through launches in 1997, 1998, and 1999. With the C-plane launches, Orbcomm became the first commercial provider of global LEO satellite data and messaging services, and it inaugurated full commercial service on November 30, 1998. The FCC expanded the authorized constellation from 36 to 48 satellites in March 1998. The company entered a difficult period in 2000. Orbital stopped funding the business in January, and Teleglobe later ceased funding. Orbcomm entered Chapter 11 protection in September 2000. In 2001, private investors acquired substantially all non-cash assets through an auction, including satellites and United States ground equipment, while related FCC licenses were acquired in a separate transaction. Orbcomm LLC was organized in April 2001. Orbcomm later repositioned itself around industrial machine-to-machine communications and asset intelligence. It expanded its offering through acquisitions including StarTrak Systems, PAR Logistics Management Systems, MobileNet, GlobalTrak, SENS Asset Tracking, Euroscan, InSync Software, SkyWave Mobile Communications, WAM Technologies, Skygistics, Inthinc, and Blue Tree Systems. These transactions broadened its exposure to fleet management, refrigerated transport, maritime connectivity, equipment monitoring, and industrial software. The company launched commercial Automatic Identification System services in 2009 and leased additional satellite capacity from LuxSpace through VesselSat-1 and VesselSat-2. It also pursued the second-generation OG2 constellation. A prototype launch in October 2012 failed to place the satellite into the required orbit, but six OG2 satellites launched successfully in July 2014 and eleven more launched in December 2015, completing the planned second-generation deployment. Orbcomm reported that the 2014 satellites were processing a material share of network traffic after in-orbit testing. Orbcomm became a public company through its 2006 offering, but faced shareholder litigation concerning its IPO disclosures; the matter was settled in 2009. In September 2021, GI Partners completed its acquisition of Orbcomm. The transaction returned the company to private ownership and ended its Nasdaq listing. The continuing brand combines satellite and cellular connectivity, devices, software, and data services for industrial customers worldwide.
