Activist pressure and governance crisis
Norfolk Southern faced an activist campaign led by Ancora Holdings seeking changes to the board and executive leadership. The campaign cited operating performance, service concerns, management decisions, and the company's handling of the East Palestine crisis. The 2024 shareholder contest resulted in a board refresh and preceded the replacement of Alan Shaw by Mark R. George as president and CEO.

East Palestine derailment and hazardous-material release
On February 3, 2023, a Norfolk Southern freight train derailed near East Palestine, Ohio. The derailment involved hazardous-material tank cars, a large fire, a controlled release and burn of vinyl chloride, environmental contamination concerns, evacuations, community health concerns, and extensive public criticism. The NTSB identified an overheated bearing and shortcomings in the wayside detector system, and it criticized aspects of the emergency-response decision process. The incident generated federal litigation and enforcement, a settlement valued at more than $310 million, and company-estimated cumulative costs exceeding $1 billion for cleanup, community support, safety improvements, and related response activities.
