Overview
MTN Uganda is a Ugandan telecommunications company and a subsidiary of MTN Group, the Africa- and Middle East-focused communications group. Established in 1998, it developed from a mobile network operator into a broad communications and digital-services business serving consumers, small businesses, large enterprises and public-sector users across Uganda. Its principal activities include mobile voice and messaging, mobile broadband, fixed and wireless connectivity, mobile money, digital financial services, enterprise connectivity and related technology solutions. The company is headquartered on Jinja Road in Kampala and operates a nationwide network supported by communications masts, switching and data infrastructure. MTN Uganda has historically been one of the country’s largest mobile operators, competing principally with Airtel Uganda and other licensed providers. Its scale has grown substantially over time: the company reported 11.2 million subscribers and approximately 55 percent market share in June 2017, rising to 12.6 million customers by the end of 2019. Uganda’s communications regulator estimated approximately 15 million MTN customers in March 2021, equivalent to about 53 percent of the national mobile subscriber base. MTN Uganda reported reaching its 20 millionth customer in May 2024. Mobile Money has been central to the company’s expansion beyond traditional telecommunications. Introduced in 2009, the service allows customers to transfer funds, pay bills, purchase airtime and conduct other transactions through mobile phones and agent networks. By March 2015, MTN was reported to control about 80 percent of Uganda’s mobile-money market. The company later broadened its financial-services offering through MoKash, introduced in 2016 with Commercial Bank of Africa Uganda, enabling qualifying users and small and medium-sized enterprises to save and access microloan products through their phones. MTN Uganda has also pursued digital-content partnerships. In 2018 it introduced a Uganda-focused Tidal music-streaming service with access to audio, video and selected exclusive content for a daily fee. Its enterprise business supports organizations with connectivity, managed services, data solutions and other communications requirements. By December 2021, the company maintained six data centres located in Kampala, Mbarara, Masindi, Lira and Tororo. At that time, approximately 2,550 communications masts provided reported coverage of 72 percent of Uganda’s landmass and 92 percent of its population, with further expansion planned under its operating licence. The company’s regulatory and capital-market position changed significantly in the late 2010s and early 2020s. Its original 20-year operating licence expired in October 2018, after which it operated under temporary arrangements while negotiating with the Ugandan government. In 2020, MTN Uganda agreed to pay US$100 million for a new operating licence and to list at least 20 percent of its shares on the Uganda Securities Exchange. The company received a 12-year licence beginning on 1 July 2020 and completed an initial public offering in November 2021. Its shares began trading on the Uganda Securities Exchange under the symbol MTNU on 6 December 2021. In 2024, MTN Group conducted a secondary offering of shares to meet the regulatory limit on its ownership of the Ugandan subsidiary. MTN Uganda has experienced substantial regulatory and political scrutiny. In 2018 and 2019, several senior executives were deported or otherwise affected by government allegations that they had compromised national security. Chief executive Wim Vanhelleputte was deported in February 2019 and later returned following negotiations between the Ugandan government and MTN International. The episode highlighted the operating and regulatory risks faced by major telecommunications companies in Uganda, while the company continued to expand its network, financial-services platform and customer base.
History
MTN Uganda was established in 1998 as part of the expansion of MTN Group into African telecommunications markets. The company built a nationwide mobile network in Uganda and became one of the country’s principal communications providers. Its early business centred on mobile voice and messaging, but the spread of mobile phones and agent networks enabled it to develop additional services for consumers and businesses. A major turning point came in 2009 with the launch of Mobile Money. The service allowed customers to make transfers and payments using mobile phones, reducing reliance on conventional banking channels and creating a large distribution ecosystem of agents and merchants. Mobile Money became an important source of customer engagement and a foundation for the company’s later digital-finance products. By March 2015, MTN was reported to hold approximately 80 percent of Uganda’s mobile-money market. The company also faced increasing regulatory requirements. In November 2015, MTN Uganda disconnected about 3.7 million SIM cards after the Uganda Communications Commission introduced stricter registration rules. In 2016, MTN Uganda arranged a syndicated loan of approximately US$114 million from four Ugandan banks to support network expansion and construction of a proposed headquarters facility. That year it also partnered with Commercial Bank of Africa Uganda to introduce MoKash, a mobile savings and microloan product designed for individuals and small and medium-sized enterprises. MTN Uganda expanded into digital entertainment in 2018 through a partnership with Tidal. The service offered subscribers music, video and selected exclusive content for a daily fee. The same period was marked by a serious governance and political controversy. Three senior executives were deported in July 2018 after being accused by the Ugandan authorities of compromising national security. In February 2019, chief executive Wim Vanhelleputte was also deported to Belgium. He challenged the government in Uganda’s High Court and returned to the country in May 2019 following negotiations involving President Yoweri Museveni and MTN International. The company’s original 20-year operating licence expired in October 2018. Protracted negotiations followed, during which MTN Uganda operated under temporary short-term arrangements. In March 2020, the company agreed to pay US$100 million for a new licence and to list at least 20 percent of its shares on the Uganda Securities Exchange. A 12-year operator licence took effect on 1 July 2020, with the listing commitment incorporated into the regulatory arrangement. MTN Uganda completed its initial public offering in November 2021. The listing broadened local ownership while allowing MTN Group to remain the controlling shareholder. Customer numbers rose from 14.1 million at the end of 2020 to 16.7 million at the end of 2021, and the company announced its 20 millionth customer in May 2024.
