The business has roots in a 1981 Austrian-American semiconductor joint venture established by voestalpine and American Microsystems. It later became Austria Mikro Systeme, or AMS, and developed from a regional semiconductor producer into an international supplier of analog, mixed-signal, sensing, and optical technologies. Important expansion came through acquisitions in light sensing, CMOS imaging, gas sensing, spectral sensing, optical packaging, and vertical-cavity surface-emitting lasers. The company adopted the shorter ams brand in 2012 after acquiring TAOS and expanding beyond its original manufacturing identity. The defining strategic event in the modern company’s history was ams’s acquisition of OSRAM. After a contested takeover process in 2019, ams secured control of OSRAM in 2020. History
The company’s history begins in Austria’s semiconductor sector. In the late 1970s, voestalpine sought to diversify into semiconductor manufacturing and established a partnership with American Microsystems. In 1981, the partners formed American Micro Systems Incorporated-Austria GmbH, commonly known as AMI-A, with American Microsystems holding the majority stake and voestalpine holding the remainder. The company selected Schloss Premstaetten in Styria as its headquarters. A 100-millimetre wafer factory opened in 1983, initially employing approximately 300 people. voestalpine took full ownership in 1987, and the company was renamed AMS, or Austria Mikro Systeme International GmbH. It expanded its international presence through sales branches in the United States and Germany. During the 1990s, the business developed a reputation for rapid growth and advanced semiconductor manufacturing. It became publicly listed on the Vienna Stock Exchange in 1993 and opened its first Asian sales office in 1996. Its chips were also used in NASA’s Deep Space 2 mission in 1998 for spacecraft power-management functions. The company invested in a 200-millimetre wafer facility around 2000. With support from private-equity shareholder Permira, it delisted from Vienna that year and adopted the name austriamicrosystems AG. Trial production began in the new facility before mass production commenced in 2002. The company expanded sales and design operations across Asia, North America, and Europe and developed manufacturing and technology relationships with external foundries, including TSMC. These transactions included AppliedSensor, the advanced CMOS sensor business of NXP, CMOSIS, CAmbridge CMOS Sensors, MAZeT, Heptagon, Incus Laboratories, and Princeton Optronics. The company also pursued strategic partnerships and potential combinations. In 2014, it discussed a possible merger of equals with Dialog Semiconductor, but the proposal did not proceed. In 2017, ams announced plans for a major Singapore site and continued expanding its international manufacturing and development footprint. In 2019, it formed a joint venture with Wise Road Capital focused on environmental, flow, and pressure sensors. The most consequential transaction was the acquisition of OSRAM Licht AG. OSRAM, with deep roots in the German lighting industry, had developed expertise in lamps, LEDs, optoelectronic semiconductors, automotive lighting, and specialty illumination. In 2019, ams entered a takeover contest in which investment firms Bain Capital and Advent International were also pursuing OSRAM. ams’s first offer did not achieve the required acceptance threshold. It then submitted a revised offer at EUR 41 per share and reduced the threshold to 55 percent. The revised bid succeeded, with 55 percent of the shares tendered by the December 2019 deadline and a final acceptance rate of approximately 59.9 percent at the end of the acceptance period. In 2020, ams acquired a majority stake in OSRAM. The European Union approved the transaction without conditions in July 2020. Integration of the two companies was completed in 2021, after which the combined business operated under the ams OSRAM name. The resulting group combined semiconductor-based sensing and light-emission technologies with OSRAM’s automotive and specialty-lamp businesses. Today, ams-OSRAM is structured around Semiconductors and Lamps & Systems. Semiconductors covers Opto Semiconductors and CMOS Sensors & ASICs, while Lamps & Systems includes Automotive and Specialty Lamps. Its principal markets are automotive, industrial, and medical, with selected consumer-electronics activities.
